Terms & Conditions for Rudrax customer orders and website references
These terms set the commercial basis on which Rudrax accepts orders, invoices work, and references completed customer engagements on its public website.
Key commercial position
By completing an order with Rudrax, including through an invoice or payment link issued via a separate portal, the customer agrees to these Terms & Conditions. That acceptance includes Rudrax's right to display the customer's business name and logo in the customer list or similar portfolio material unless a different arrangement is agreed in writing.
1. Application
These Terms & Conditions apply to all quotations, proposals, purchase orders, invoices, production work, digital services, custom products, and related services supplied by Rudrax Enterprise Pvt Ltd trading as Rudrax.
They apply whether the order is confirmed directly with Rudrax or through a third-party invoicing, checkout, or payment portal referenced by Rudrax.
2. Acceptance of Terms
A customer is taken to have accepted these Terms & Conditions when the customer does any of the following: requests Rudrax to proceed with work, approves a quotation, issues a purchase order, approves artwork or specifications, pays a deposit, pays an invoice, accepts delivery, or otherwise completes an order.
Where Rudrax issues an invoice or payment request through a separate platform or portal, completion of that order or payment constitutes acceptance of these Terms & Conditions as if the order had been completed directly with Rudrax.
3. Customer Authority and Materials
The customer warrants that it has authority to place the order and to provide any names, logos, artwork, trade marks, designs, brand assets, and instructions supplied to Rudrax.
The customer remains responsible for ensuring that all supplied materials do not infringe the rights of any third party and comply with applicable law, industry rules, and brand requirements.
4. Customer Name and Logo Usage
Unless otherwise agreed in writing before completion of the order, the customer grants Rudrax a non-exclusive, royalty-free, worldwide licence to use the customer's business name, trading name, logo, and a factual description of the work supplied by Rudrax for Rudrax's own marketing and portfolio purposes.
This permission includes display on the Rudrax public website, including the Customers section, as well as in capability statements, proposal documents, social media, pitch material, and other reasonable promotional channels operated by Rudrax.
Rudrax will use such material in a professional manner and will not knowingly represent that the customer endorses Rudrax beyond the fact that goods or services were supplied, unless the customer provides a separate written testimonial or endorsement.
5. Confidential or Restricted Engagements
If a customer requires its identity, project details, or branding to remain confidential or embargoed, the customer must notify Rudrax in writing before work is completed or before the relevant invoice is paid, whichever occurs first.
Any variation, limitation, or withdrawal of the usage permission described in these Terms & Conditions must be agreed by Rudrax in writing.
6. Quotes, Orders, and Invoices
Quotations are valid only for the period stated in the quotation or, if no period is stated, for 14 days from issue. Rudrax may revise pricing where scope, quantities, materials, freight, duties, or timing change.
Invoices may be issued by Rudrax directly or through an external invoicing or payments platform nominated by Rudrax. The use of such a platform does not limit or replace these Terms & Conditions.
7. General
To the maximum extent permitted by law, these Terms & Conditions are governed by the laws applicable in Australia. If any provision is unenforceable, the remaining provisions continue in full force and effect.
Rudrax may update these Terms & Conditions from time to time by publishing the revised version on its website. The version in force at the time the order is completed or the invoice is paid will apply to that transaction unless otherwise agreed in writing.
